Terms / Licence Agreement
RELEX LICENCE / CONFIDENTIALITY AGREEMENT FOR LAWYERS
1. As a licenced Relex™ Lawyer, you are certifying that you are a member in good standing of your provincial Law Society. You agree to the terms set out below.
2. Upon registration as a Relex™ licencee, you will be entitled to access the Relex™ database of Realtors® and to the use of the Relex™ system, Relex™ trademarks and Relex™ forms and documents. The Relex™ mark, the Relex™design mark, and other intellectual property, including, but not limited to, copyright, are used under a non-exclusive license from Relex Ventures Inc.
3. All Relex™ transactions undertaken by you will commence with a signed Engagement Agreement between you and the Relex™ Realtor® prior to your Client signing a Retainer Agreement with you. When working with a Relex™ Client, you will enter all essential information on the Relex™ website as required and will use only the form of online Engagement Agreement, Retainer Agreement and accounts (“Relex™ Documents”) posted on the Relex™ website, except with prior written permission from Relex Ventures Inc. Relex Ventures Inc. reserves the right to amend the form of Relex™ Documents from time to time at Relex Venture Inc.’s sole discretion.
4. The allocation of the compensation/commission paid by the client (Transaction Costs) will be negotiated between you and the Realtor® prior to signing the Relex™ Documents.
5. You will comply with all the terms of the Relex™ Documents you have signed and will at all times maintain the integrity and fundamental principles of the Relex™ system, including independent representation and undivided loyalty. If a conflict of interest arises in the course of a Relex™ transaction, you will take all appropriate steps in accordance with your professional obligations.
6. You acknowledge you have read, understood and agree to the Terms of Use of the Relex™ website, and that you are aware that the Relex™ system is protected by pending patent application(s), patent(s) and/or trade secrets that the Relex™ name and logo are protected by pending trademark application(s),trademark registration(s) and/or common law trademark rights, and that the Relex™ Documents are protected by copyright application(s), copyright registration(s) and/or common law copyright(s). You are authorized to use the Relex™ system and forms only in relation to a Relex™ transaction and for the purpose of marketing the Relex™ system to your Clients, and not otherwise, except with the prior written permission of Relex Ventures Inc.
7. Any breach of the terms of this Licence Agreement may result in termination of your Relex™ licence and all rights to use the Relex™ system, including removal of your name from the Relex™ directory of Lawyers upon written notice from Relex Ventures Inc.
8. You acknowledge that you have read the Privacy Policy posted on the Relex™ website and understand that the information provided by you relating to the use of the Relex™ system will be used by Relex Ventures Inc. only for the purposes set out in the Privacy Policy.
9. You agree to pay Relex Ventures Inc. the following licence fees upon successful completion of each Relex™ transaction you undertake for a client:
  
  - $250 where the sale /purchase price of the property is less than $999,999
  - $490 where the sale/purchase price of the property is $1,000,000 or higher
  
  You agree to pay such licence fees within 15 days of receipt of an invoice from Relex Ventures Inc
10. You agree to finalize the Relex™ transaction by completing all online user fields including insertion of the final sale price, so each transaction is properly recorded in the Relex™ system.
11. Relex Ventures Inc. reserves the right to amend the terms of the Licence Agreement including the structure of the licence fees upon 30 days prior notice to you.
CONFIDENTIALITY AGREEMENT

RE: RELEX VENTURES INC. (“Relex™”) & RELEX™ System

The Lawyer (“Undersigned”), agrees that the Undersigned will not disclose, for any reason or at any time, to any person, except to the extent that the proper performance of the Undersigned’s activities as a prospective or licensed Relex™ member may reasonably require such disclosure to employees or members of the Law Firm, any confidential information relating to the processes, business plans, legal opinion letter, document precedents (whether in paper or electronic form), or trade secrets of Relex™ or those of any corporation or law firm affiliated with Relex™, or any other confidential information given to the Undersigned by any of the officers, employees, or representatives of Relex™ or obtained by the Undersigned as a result of its use of the Relex™ system, unless so authorized in writing by one of the officers of Relex™ empowered to do so. Any information not generally available to the public shall be considered confidential for the purpose of this Agreement.

It is also agreed that all data, charts, graphs, drawings, logos, document precedents, legal opinions and all intellectual property rights which are utilized in Undersigned’s activities with or through Relex™ shall be kept secret and confidential except to the extent that disclosure is required for the purposes of the Undersigned’s participation as a licensed Relex™ member, and such materials shall be considered the property of Relex™ and returned to Relex™ at the conclusion of the Undersigned’s activities with Relex™ or on demand.

Lawyer Terms*

1. As a licenced Relex Realtor®, you are certifying that you are a duly licensed salesperson and a member in good standing of the Canadian Real Estate Association (CREA).
2. Upon registration as a Relex™ licencee, you will be entitled to access the Relex™ database of Lawyers and to the use of the Relex™ system, the Relex™ trademarks and Relex™ forms and documents. The Relex™ mark, the Relex™ design mark, and other intellectual property, including, but not limited to, copyright, are used under a non-exclusive licence from Relex Ventures Inc. You agree not to disclose the names of any Lawyers on the Relex™ directory to any third parties and to keep all Relex™ transaction details, including the name of the Relex™ Lawyer, confidential at all times except where such disclosure is required by a specific Relex™ transaction you are involved in.
3. You agree that all Relex™ transactions undertaken by you will commence with a signed Engagement Agreement between you and the Relex™ Lawyer prior to the MLS® listing documents being signed by the Client. When working with a Relex™ Client, you agree to use only the form of online Engagement Agreement posted on the Relex™ website, except with prior written permission from Relex Ventures Inc. Relex Ventures Inc.reserves the right to amend the form of Engagement Agreement from time to time at Relex Venture Inc.’s sole discretion.
